Dash Supply Club Program Terms

These DoorDash Supply Club Program Terms (“Program Terms”) govern your participation in the DoorDash Supply Club membership program (“Program”) offered by DoorDash G&C, LLC (“DoorDash,” “we,” “our,” or “us”). By enrolling in, accessing, or using the Program, you (“Member” or “you”) agree to be bound by these Program Terms, the DoorDash Merchant Terms of Service (“Merchant Terms”), which govern your use of DoorDash Marketplace as a merchant selling products on the platform, and the DoorDash Consumer Terms and Conditions (“Consumer Terms”), which govern your use of the DoorDash Marketplace platform as a consumer purchasing products on the platform. If there is any conflict between these Program Terms and the Merchant Terms or the Consumer Terms, the Program Terms control solely with respect to your participation in the Program.

1. Overview

DoorDash offers two membership tiers under the Program that provide Members with access to certain benefits and savings on qualifying purchases made through the DoorDash Marketplace platform. Goods purchased by Members through the Program (“Products”) are sold to Members by the participating merchant that lists them on DoorDash Marketplace (each, a “Selling Merchant”). Participation in the Program is voluntary and subject to these Program Terms.

2. Membership Tiers

2.1 Lite Membership

Fee: $0 per month
Benefits: Access to certain benefits, including $0 delivery fee and reduced service fees on eligible orders over $75.

2.2 Plus Membership

Fee: $30 per month (plus applicable taxes) (“Membership Fee”) 

Benefits:

  • Access to certain benefits, including $0 delivery fee and reduced service fee on eligible orders over $75.

  • Up to 10% discount on eligible restaurant supply orders totaling $250 or more (before taxes, fees, and credits).

(a) Signature Membership Free Trial. At enrollment, Signature Members receive a 3-month free trial. The free trial begins upon enrollment and automatically converts to a paid monthly membership at rate of $30 per month (plus applicable taxes) at the end of the calendar month, unless cancelled prior to the end of the trial period. The Signature Membership free trial is available only to merchants participating in the Program for the first time and that have signed up for the Program after 9/1/2026.

(b) Signature Membership Payment Terms. The Membership Fee is charged month to month and automatically renews unless cancelled prior to the next billing date. The Membership Fee is charged on the first of each month. DoorDash or its affiliates will deduct the Membership Fee each month from the amounts otherwise payable by DoorDash or its affiliates to Member for that month on their DoorDash account (the “Monthly Payout”), and Member authorizes DoorDash or its affiliates to do so. If the Monthly Payout for a given month is less than the Membership Fee, DoorDash or its affiliates may deduct the remaining balance from Member’s Monthly Payout in one or more subsequent months until the Membership Fee is paid in full. The Membership Fee is non-refundable except as required by applicable law.

3. Membership Requirements

3.1 Order eligibility. Only orders placed for restaurant supplies at Selling Merchants on the DoorDash Marketplace are eligible for Program benefits. Member must have at least one active store on the DoorDash Marketplace platform at the time the order is placed. The delivery address for an eligible order must be a business address for a store operated by Member.

3.2 Restricted products. Alcohol may not be purchased as part of this Program and such purchases will not be eligible for Program benefits.

3.3 Permitted Use; No Diversion.

(a) Permitted use. Products purchased through the Program are for use in the ordinary operation of Member's own food-service business. Permitted use expressly includes using Products as ingredients, inputs, supplies, or packaging to prepare, portion, package, and sell food and beverages to Member's own end customers, and selling Products in unmodified form directly to Member's own end customers at Member's business locations or through Member's ordinary sales channels (including DoorDash Marketplace). Nothing in this Section restricts Member's sale of prepared food or beverages to its own end customers.

(b) Prohibited diversion. Member may not, directly or indirectly, Divert any Product purchased through the Program. "Divert" means to sell, trade, transfer, distribute, consign, or otherwise make available a Product, for consideration or otherwise, to any person other than Member's own end customers in the ordinary course of Member's business, including any transfer to (i) another business or commercial buyer, or (ii) any person who acquires the Product for further sale, distribution, or commercial use rather than for its own consumption. Diversion includes, without limitation, wholesale or bulk sales; sales or transfers to other food-service operators, retailers, distributors, or brokers; and offering or listing Products on any online marketplace, resale platform, buy/sell group, or auction site.

(c) Affiliated locations. Member may transfer Products among stores or locations that Member owns and operates, or that are owned and operated by Member's wholly owned subsidiaries, provided each such location is otherwise eligible under Section 3.1. Transfers to or among separately owned franchisees, licensees, or other independently owned locations constitute Diversion.

(d) No tax characterization. This Section 3.3 addresses only Member's permitted use of Products under the Program. It is not a representation, determination, or agreement as to the treatment of any purchase for sales, use, excise, or other tax purposes, including whether any purchase constitutes a purchase for resale under applicable tax law. Member is solely responsible for its own tax positions, resale or exemption certificates, and tax filings with respect to Products.

(e) Enforcement. DoorDash may request reasonable documentation of Member's use of Products, and may suspend or terminate Member's participation in the Program, revoke or reverse Program discounts or credits applied to affected orders, and pursue any other remedy available under these Program Terms, the Merchant Terms, or applicable law for any violation of this Section.

4. Cancellation and Termination

4.1 Member Cancellation and Downgrade.
(a) You may cancel your membership, or downgrade from Signature Membership to Lite Membership, by contacting DoorDash Supply Club support at business-supply-club@doordash.com. Your request is treated as submitted on the date DoorDash receives it, regardless of when DoorDash processes it.
(b) Cancellations or downgrades will take effect at the end of the billing month in which DoorDash receives your request (the “Effective Date”). Through the Effective Date, you will retain access to Program benefits associated with your then-current membership tier.
(c) If you downgrade, your Signature Membership ends on the Effective Date and your Lite Membership begins the following day. Benefits available only to Signature Members will no longer be available to you as of that date.
(d) Membership Fees paid for the billing month in which the Effective Date occurs are non-refundable, except as required by applicable law.

4.2 DoorDash Suspension or Termination. DoorDash may suspend or terminate your membership, access to Program benefits, or participation in the Program, in whole or in part, immediately upon notice if:

  • you fail to pay applicable fees;

  • you misuse the Program or its benefits;

  • you breach these Program Terms, the Merchant Terms, the Consumer Terms, or any other agreement between you and DoorDash or its affiliates.

DoorDash may also discontinue the Program in accordance with Section 5.

4.3 Effect of Termination. Upon the effective date of cancellation or termination determined under Section 4.1 or 4.2, any unused credits, discounts, or benefits will not roll over and are forfeited unless required by law.

5. Modifications to the Program

DoorDash may modify, update, or discontinue the Program or any membership tier, benefit, eligibility requirement, or fee at any time in its sole discretion. DoorDash will provide at least 30 days’ advance notice of any material modifications. Your continued participation after the notice period constitutes acceptance of the modified Program Terms. If you do not agree to modifications, you must cancel your membership before the modifications take effect.

6. Limitation of Liability

6.1 Limitation of Liability.
To the fullest extent permitted by law, DoorDash and its affiliates are not liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your participation in the Program. The total cumulative liability of DoorDash and its affiliates for claims arising under or related to these Program Terms or the Program shall not exceed greater of (i) the amount of membership fees actually paid by you to DoorDash or its affiliates in the preceding twelve (12) months, and (ii) US$100. These limitations apply regardless of the legal theory asserted and even if DoorDash or its affiliates has been advised of the possibility of such damages.

6.2 No Warranty.
Products are provided “as is” and “as available” by the Selling Merchant. To the fullest extent permitted by law, DoorDash disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Member is responsible for inspection upon receipt of Products and food safety compliance.

7. Miscellaneous

7.1 Non-Transferability.
Memberships, benefits, and discounts are non-transferable and may only be used by the registered Member account.

7.2 Availability of Benefits.
All benefits, discounts, and savings are subject to availability, applicable terms, and any limitations communicated by DoorDash. DoorDash does not guarantee availability of any product or service.

7.3 Program Eligibility.
You must maintain an active, valid merchant account on the DoorDash Platform in good standing to participate in the Program.

7.4 Relationship to Merchant Terms and Consumer Terms.
These Program Terms supplement the DoorDash Merchant Terms of Service, which govern your use of the DoorDash Platform as a merchant selling products. These Program Terms also supplement the DoorDash Consumer Terms, which govern your use of the DoorDash Platform as a consumer purchasing products. In the event of a conflict, these Program Terms control solely with respect to your membership in and use of the Program.

7.5 Governing Law; Disputes.
These Program Terms are governed by the same governing law and dispute resolution provisions set forth in the Merchant Terms.
